Who is required to file?

All corporations and limited liability companies registered in California or doing business in California must file a Statement of Information with the California Secretary of State’s office and pay a $25 filing fee for a corporation or a $20 fee for the LLC.  You will receive a postcard reminder from the California Secretary of State’s office.

Please, do not overlook or discard your annual reminder.  You will receive this postcard approximately 90 days prior to the filing due date.

How will you know what statement to file?
The type of statement required to be filed is printed on the front of the postcard, below the Statement Due Date.           

When do I file?

Corporations
Corporations file the statement annually. It is due in the month of original incorporation.

Limited Liability Companies                           
Limited liability companies file the statement biennially.  If formed in an odd year, the statement is due every odd year. If formed in an even year, the statement is due every even year. It is due in the month the LLC was originally formed.

You should calendar these dates to avoid missing them in case you do not receive the postcard reminder.
